Welcome to Planet Ads AI, LLC! These Terms of Service ("Terms", "Terms of Service") govern your use of our website located at https://www.planetads.ai (together or individually "Service") operated by Planet Ads AI, LLC.
Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.
Planet Ads AI, LLC provides digital marketing services, including but not limited to, targeted advertising campaigns on platforms like Facebook and Google, patient acquisition funnels, Invisalign growth strategies, local digital presence optimization, and related AI and SaaS solutions (the "Services"). Specific services, deliverables, and fees will be outlined in a separate Service Agreement or Statement of Work ("SOW") for each client.
Clients agree to provide Planet Ads AI, LLC with all necessary access to information, accounts (e.g., ad accounts, Google Business Profile), and materials required to perform the Services. Clients are responsible for the accuracy and legality of all content and materials provided to Planet Ads AI, LLC. Clients are also responsible for adhering to the terms of service of third-party platforms (e.g., Facebook, Google) used in connection with the Services.
Fees for Services are outlined in our pricing packages or as agreed upon in a SOW. Current standard packages include:
A 3-month minimum commitment is required for all packages. Services are billed monthly in advance. Payments are due upon receipt of invoice unless otherwise specified. Late payments may incur interest or suspension of Services. A 30-day notice is required for pausing services (subject to terms in SOW).
Ad spend paid to third-party platforms (e.g., Google, Facebook) is separate from Planet Ads AI, LLC's service fees and is the direct responsibility of the Client, unless otherwise agreed in writing.
The initial term for Services is typically three (3) months, renewing on a month-to-month basis thereafter unless specified otherwise in the SOW. Either party may terminate the agreement with thirty (30) days written notice after the initial minimum term. Planet Ads AI, LLC reserves the right to terminate services immediately for non-payment or breach of these Terms or the SOW.
Planet Ads AI, LLC retains all rights to its pre-existing intellectual property, methodologies, and proprietary tools. Client retains all rights to their pre-existing intellectual property and any client-specific content they provide. Campaign materials (ads, copy, funnels) created by Planet Ads AI, LLC specifically for the Client during the term of service are typically licensed to the Client for use while an active client, or ownership may transfer upon full payment and completion of contract, as specified in the SOW.
Both parties agree to keep confidential all non-public information received from the other party that is marked as confidential or would reasonably be understood to be confidential. This obligation survives termination of the agreement.
Planet Ads AI, LLC will make reasonable efforts to achieve client goals, but we do not guarantee specific results (e.g., number of leads, patient conversions, ROAS). Marketing and advertising outcomes are subject to various external factors beyond our direct control, including market conditions, competition, and changes in third-party platform algorithms or policies.
Our services are provided "as is" without warranty of any kind, express or implied. To the maximum extent permitted by law, Planet Ads AI, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the service; (b) any conduct or content of any third party on the service; (c) any content obtained from the service; and (d) unauthorized access, use or alteration of your transmissions or content.
Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount of fees paid by you to Planet Ads AI, LLC in the three (3) months preceding the claim.
You agree to defend, indemnify, and hold harmless Planet Ads AI, LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms, or c) content posted on the Service, or d) your violation of any third-party right, including without limitation any copyright, property, or privacy right.
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
